- Certainty of Close – Does the prospective purchaser have a proven track record of closing deals on schedule and according to the original terms proposed? Do they have a high probability of submitting final proposals after they complete due diligence?
- Valuation – Have they consistently paid competitive prices?
- Speed – Are they able to respond quickly, conduct due diligence in a streamlined manner and commit decisively without a prolonged approval process?
- Fit with Management – Do the personalities, cultures and growth plans match? Are the stock options and other forms of compensation favorable?
